AMENDMENT OF MEMORANDUM OF INCORPORATION TO CREATE NEW CLASS OF SECURITIES


Shareholders are referred to the circular to Aveng shareholders ("Shareholders") as published by the
Company on 18 December 2020 ("December 2020 Circular") in terms of which the Company proposed to
the Shareholders that the Shareholders pass the requisite special resolution to amend the memorandum of
incorporation ("MOI") of the Company in terms of section 16(1)(c) of the Companies Act, 2008 ("Companies
Act") in order to create a new class of shares, namely, the A class, no par value, non-voting convertible
shares ("Aveng A Class Shares") with the preferences, rights, limitations and other terms as set out in the
notice of general meeting annexed to the December 2020 Circular ("MOI Amendment").

At an extraordinary general meeting held on Wednesday, 20 January 2021, the Shareholders approved the
MOI Amendment by special resolution, the results of such resolution are as set out in the SENS
announcement to Shareholders dated 21 January 2021 ("Special Resolution").

Shareholders are hereby advised that the Company has received confirmation from the Companies and
Intellectual Property Commission ("CIPC") that the Special Resolution has been registered with the CIPC in
accordance with the provisions of the Companies Act and accordingly the Aveng Class A Shares have been
created.
