Shareholders are advised that the company`s annual financial statements for the 
year ended 31 March 2005 will be posted to shareholders on 16 July 2005 and     
contain no modifications to the audited results which were published on 9 June  
2005.  PricewaterhouseCoopers Inc. and Sizwe Ntsaluba VSP Inc. jointly audited  
the results. The annual financial statements of MTN including the auditors      
report are available for inspection at the registered office of the company.    
Notice of the Annual General Meeting                                            
Notice is hereby given that the Annual General Meeting of MTN shareholders will 
be held at the MTN Innovation Centre, 14th Avenue, Fairlands, Gauteng on        
Wednesday, 10 August 2005 at 09h00 to transact business as stated in the Notice 
of the Annual General Meeting.
