SA COMPETITION COMMISSION ISSUES POSITIVE RECOMMENDATION TO THE TRIBUNAL
IN RELATION TO IMPLATS MANDATORY OFFER TO RBPLAT SHAREHOLDERS

1.     INTRODUCTION

       (a)     Implats refers to its offer (Offer) to the holders (RBPlat Shareholders) of issued
               ordinary shares (RBPlat Shares) in RBPlat as set out in Implats' offer circular (Offer
               Circular) dated 17 January 2022 and to the announcement released on 17 January
               2022 noting the conditions to the Offer.

       (b)     RBPlat refers to the various announcements published on SENS regarding the
               Offer, the most recent of which was published on 5 April 2022, and to RBPlat’s
               offeree response circular in respect of the Offer published on 11 February 2022.

2.     RECOMMENDATION BY COMPETITION COMMISSION

       (a)     The purpose of this announcement is for Implats and RBPlat to advise RBPlat
               Shareholders that on 28 April 2022 Implats received confirmation that the South
               African Competition Commission (Competition Commission) has recommended
               that the South African Competition Tribunal (Competition Tribunal) approves the
               proposed transaction, subject to certain conditions relating to public interest
               considerations, which had largely been agreed upon between Implats and the
               Competition Commission. The parties have been engaging with the Minister of
               Trade and Industry and Competition and will continue to do so in relation to the
               public interest considerations arising from the proposed transaction.

       (b)     The proposed transaction described in the Offer Circular is still subject to the
               approval of the Competition Tribunal.

       (c)     Shareholders will be kept updated in relation to further developments.

3.     RESPONSIBILITY STATEMENT

       (a)      The board of directors of Implats (to the extent that the information relates to
                Implats) accepts responsibility for the information contained in this announcement
