ANNOUNCEMENT
Attorneys acting for Gencor have received a copy of an intended application for
an urgent interdict to prevent the holding of the general meeting of Gencor
shareholders scheduled for Wednesday 2 October 2002. The general meeting had
been called to consider the unbundling of the shares Gencor holds in Impala
Platinum Holdings Limited ("the unbundling"). The applicants also intend seeking
an interdict to prevent the unbundling.
The notice was delivered to Gencor`s attorneys at 11:45 pm on Friday night, but
has not yet been lodged in the High Court. Gencor has been informed that the
notice of motion will be lodged today, 30 September 2002, and that the
application is due to be heard on Tuesday 1 October 2002.
The application is to be brought on behalf of claimants who allegedly contracted
asbestos-related diseases while working on mines in which Gencor had an
interest. Gencor, which sold these interests in 1988, has legal advice,
including the advice of senior counsel, that it is not liable under South
African law for any of the claims.
Although attorneys for the claimants allege that they act on behalf of a large
number of potential claimants, the notice of motion contains no new particulars
of claim beyond the 37 claims already lodged and of which shareholders have
already been informed.
A further announcement will be made as soon as Gencor is in a position to do so.
