RESULTS OF ANNUAL GENERAL MEETING                                               
Shareholders of MTN are advised that the special resolution and all the ordinary
resolutions proposed in the notice to shareholders dated 23 June 2010 were      
passed by the requisite number of votes at the annual general meeting of the    
Company held on Thursday, 15 July 2010.                                         
The special resolution will be lodged with the Companies and Intellectual       
Property Registration Office for registration.
