APPOINTMENT OF NEW INDEPENDENT NON-EXECUTIVE DIRECTORS AND EXECUTIVE DIRECTOR
The Board of Directors of MTN Group ("the Board") is pleased to announce the
appointment of the following three new Independent Non-Executive Directors to
the Board, with effect from 1 January 2010.
Ms Dawn Marole (South Africa) has been appointed as an Independent Non-Executive
Director and a member of the MTN Group Risk Management and Compliance Committee.
Mr Peter Mageza (South Africa) has been appointed as an Independent Non-
Executive Director and a member of the MTN Group Audit Committee.
Mr Alan Harper (United Kingdom) has been appointed as an Independent Non-
Executive Director and a member of the MTN Group Nominations, Remuneration,
Human Resources and Corporate Governance Committee.
The Board further announces that:
Mr Azmi Mikati (Lebanon), a Non-Executive Director of the MTN Group Board since
July 2006, has been appointed as a member of the Nominations, Remuneration,
Human Resources and Corporate Governance Committee, with effect from 27 November
2009.
Mr Nazir Patel (South Africa) has been appointed as an Executive Director to the
Board, with effect from 27 November 2009 replacing Mr Robert Nisbet who ceased
to be a director of the Board, with effect from 30 September 2009.
Pursuant to the above changes the Board will comprise: Mr Cyril M Ramaphosa
(Chairman), Mr Phuthuma F Nhleko (Group President and CEO), Mr Sifiso Dabengwa
(Group Chief Operating Officer), Mr Nazir Patel (Group Finance Director), Mr
Doug Band, Ms Koosum Kalyan, Mr Peter Mageza, Ms Dawn Marole, Mr Azmi Mikati, Mr
Johnson Njeke, Mr Jan Strydom, Mr Alan van Biljon, Mr Alan Harper and Mr Jeff
van Rooyen.

Ms Dawn Marole, BComm (Accounting) from the University of Zululand; Diploma in
Tertiary Education from the University of South Africa; MBA (Marketing
Management) from Northern Eastern University, Boston, USA; Executive Leadership
Development Programme from Wharton School of Business, Washington, USA;
Leadership Programme from Gordon Institute of Business Science.
Ms Marole is currently an Executive Director: Human Resources at African Bank
Investment where she is responsible for the Human Resources function of the
company.
Her career history, primarily in the Financial Services Sector, dates back to
1983.
Ms Marole is a Non-Executive Director of Incwala Resources, Dema Group (Pty)
Limited, JP Morgan Chase Bank NA SA Business Unit. She is also a member of the
Policy Board for the Financial Services and Regulations as an advisor to the
Minister of Finance.
She is the current Chairperson of POWA (People Opposing Women Abuse).
Mr Peter Mageza
Mr Peter Mageza is a Fellow of The Association of Chartered Certified
Accountants (ACCA) UK and was until June 2009 ABSA Executive Director and Group
Chief Operations Officer. Prior to this he had extensive experience in the
Financial/Banking arena.
He currently serves on the boards of Bidvest Group Limited, Remgro Limited,
Rainbow Chickens Limited.
His experience as a director of companies dates back to July 2000.
Mr Alan Harper
Mr Harper previously worked for the Vodafone Group from 1995 and served as Group
Strategy & New Business Director for Vodafone PLC from 2000 to 2007 and was
responsible for corporate and regulatory strategy, business development, R&D and
public policy. In this role he led the Public and External team, which included
all regulatory work, government relations EMF and spectrum policy
Mr Harper was a member of the Executive Committee of the Vodafone Group from
1997 to 2007, was a board member of the GSM Association, Chairman of Vodafone
Ventures and Chairman of the Board of Trustees of the Vodafone UK Foundation.
Mr Nazir Patel
Mr Patel joined the MTN Group in April 2006 as Group Executive Finance. He is a
qualified CA with wide international experience in Europe and the Middle East.
Since Mr Patel joined the MTN Group, he has been responsible for the Group
financial management and accounting function, has participated in several of the
Group`s Mergers and Acquisition activities and serves on a number of MTN`s
subsidiary Boards.
