MANAGEMENT CHANGES AND PROMOTIONS                                               
Rob Nisbet the current MTN Group Finance Director joined the MTN Group in       
1995 and has been an integral part of the Group`s senior management team.       
After 14 years of service, Rob has decided to pursue other business             
interests outside the Group. "Rob Nisbet has made a significant                 
contribution to MTN. We are all grateful for having had him as part of the      
team" said Phuthuma Nhleko Group President and CEO of MTN Group. Rob Nisbet     
will continue to be part of the transaction team that will progress the         
envisaged MTN / Bharti transaction and will remain on the MTN board as an       
executive director until the end of September 2009.                             
Rob Nisbet will be succeeded as Group Finance Director by Nazir Patel,          
effective 1 October 2009.                                                       
Nazir Patel joined the MTN Group in 2005 as Group Executive Finance.  He is     
a qualified CA with wide international experience in Europe and the Middle      
East. Since Nazir joined the MTN Group, he has been responsible for the         
Group financial management and accounting function, has participated in         
several of the Group`s Mergers and Acquisition activities and serves on a       
number of MTN`s Subsidiary Boards.                                              
Karel Pienaar will be appointed as Managing Director - MTN South Africa,        
effective 1 August 2009.  Karel is currently the Group Chief Technical and      
Information Officer.  Karel succeeds Tim Lowry the current MD - MTN SA and      
Vice President (VP) for South East Africa (SEA).  Tim will continue to          
focus on his role as VP SEA.  Karel was one of the founder executives of        
MTN SA in 1994 and has held various senior executive positions in the           
Group.                                                                          
The Group also wishes to announce the following promotions and                  
appointments:                                                                   
Debbie Millar - Group Executive: Treasury, Funding and IR                       
Carel Gericke - Group Executive: Corporate Tax                                  
Zolisa Masiza - Group Executive: Regulatory (MTN Group and MTN SA).

appointments as part of the evolution of the management team reflecting the     
evolutionary growth of the Company. I believe this will enhance the             
strength and capacity of the respective management teams and demonstrates       
MTN`s commitment to developing its people through a strong focus on
